Please read the following terms and conditions carefully before registering, accessing or using the application as defined below. By accessing or using the services of the application, you agree to be bound by these terms and conditions set forth below including any additional guidelines and future modifications. If at any point of time, you do not agree to these terms and conditions or do not wish to be bound by these terms and conditions, you may not access or use the application and immediately terminate your use of the services by the prescribed channel and process of communication.
Your use of True Balance Wallet on our mobile App is governed by the following terms and conditions (hereafter, referred to as “Terms” and as may be amended from time to time) which are incorporated herein.

We follow systematic and stringent procedures to protect the security of the information/data shared with us and stored in our application and/or on our server. The information that you have shared on our application is stored in a secure server with encryption and can be accessed only for official purposes. Any of our employees who violate our privacy and/or security policies related to customer’s data is subject to disciplinary action, including possible termination and civil and/or criminal prosecution.
Upon signing up on our app, you are required to provide us with certain basic mandatory information like your name, date of birth, self-declared Aadhaar number, email address, gender and mobile number details. We never request more information than is reasonably necessary to provide requested services. We assume all the information provided by you is true, accurate, current, non-misleading, consistent and relevant. Once the registration process is completed, the said mobile number and password can be used to access your account every time you visit our application.

True Balance is required, under applicable laws, to retain certain records for a period as suggested by regulatory authorities even after closure of your True Balance Wallet account, which will include your personal data such as your name, contact details, customer number and transaction history. We do not store your online banking login PIN, TAN and/or password. Please note that we will not store your credit card information.
True Balance will never ask you to disclose your personal or security details by e-mail/phone. If you receive any e-mail/call purportedly from us requesting your personal or security details, please do not respond or entertain any such communication. True Balance Wallet has drawn up stringent security measures to protect the loss, misuse, and alteration of the information provided by you under our control. At any point of time, when you change or access your account information, we offer the use of a secure server. Once your information is in our possession, we adhere to strict security guidelines, protecting the information against unauthorized access. In order to prevent unauthorized access or disclosure, we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online. H. SERVER LOGS
In order to ensure easy and comfortable accessibility to our application, each time you use various services through our application, the application background collects certain statistical information. These statistics are only used to provide us information in relation to the type of user and nature of transactions or usage of our application by maintaining history of pages and at no point they identify the personal details of the user. We may make use of this data to understand as to how our application is being used.

The application data is hosted in India. Even if you are accessing the application from outside India, your use of the application is governed by the laws of India.

You also agree to receive/share information regarding what True Balance Wallet perceives to be of their interest based on usage history via SMS, email, push notification & phone call. This includes offers, discounts and general information. In case, you do not want such information, you have to explicitly ask to be excluded by emailing us at email@example.com or responding to opt-out SMS sent from time to time or use privacy settings in the application.

The feedback provided by our customers is treated as an asset to the organization, evaluated and worked upon to improve our products and services.

As “Customer Delight” our priority, we are committed to provide best Payment and Solution Experience to all our customers, we extend a Level-II escalation matrix to all our customers.

All escalations received with the required details such as complaint reference number provided at Level-I, contact details (both phone & email) would be addressed within forty-eight (48) working hours up to a max of seven (7) working days in special cases pertaining to third party transactions.

In case the customer is still not satisfied with the resolution provided or delay in response beyond the timelines communicated even after following the escalation steps at Levels— I & II respectively, the customer can escalate the concern to the highest level by:

On receiving the escalation, the complaint will get addressed within twenty-four (24) working hours’ post acknowledgement, up to a maximum of seven (7) working days in special cases pertaining to third party transactions.
6. Grievance Redressal Mechanism
The customer has the right to register his complaint if he is not satisfied with the services or finds attitudinal deficiencies when dealing with agents/staff or finds system errors or sees gaps between standards of service promised and actual service rendered by the company. This mechanism is exclusively dedicated for customer complaint redressal.
Acknowledgement of Grievances & redress on Complaints:
In the event of any dispute, True Balance records shall be binding as the conclusive evidence of the Transactions carried out through use of True Balance Wallet.
All sales are final with no refund or exchange permitted. You are responsible for the information you provide for purchase and all charges that result from those purchases. Balance Hero (India) Pvt. Ltd. is not responsible for any purchase of incorrect information provided. If in a transaction performed by you on the application, money has been charged to your True Balance wallet, credit/debit card or bank account and a recharge/benefit is not delivered within two hours of your completion of the transaction then you may inform us by sending an email to our customer services email address as mentioned. True Balance Wallet shall investigate the incident and if it is found that money was charged to your True Balance wallet, credit/debit card or bank account without delivery of the recharge/benefit then you will be refunded the money within 7 working days from the date of receipt of your email. All refunds will be credited to your True Balance Wallet account.
8. Legal Dispute Resolution
The Terms will be governed by and construed in accordance with the laws of India. You agree that any legal action or proceedings arising out of these Terms may be brought exclusively in the competent courts or tribunals having jurisdiction inGurgaon, Haryana, India and irrevocably submit themselves to the jurisdiction of such courts or tribunals. True Balance Wallet may elect to resolve any controversy or claim arising out of or relating to these Terms or application by binding arbitration in accordance with the provisions of the Indian Arbitration & Conciliation Act, 1996. Any such controversy or claim shall be arbitrated on an individual basis and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Gurgaon, Haryana, India and judgment on the arbitration award may be entered in any court having jurisdiction thereof. The language of arbitration will be English.
The Terms are a legal contract between You, being an individual user or beneficiary of these services of at least 18 years of age, and Balance Hero India Private Limited (BHIPL) having its registered office at Office No.121 2nd Floor, Sector 44, Gurgaon, India, 122001 and headquartered at 6th Floor, Tipstown S2, 169, Yeoksam-ro, Gangnam-gu, Seoul, Korea, 06247
You agree that any legal action or proceedings arising out of these Terms may be brought exclusively in the competent courts or tribunals having jurisdiction inGurgaon, Haryana, India and irrevocably submit themselves to the jurisdiction of such courts or tribunals. Privacy of communication is subject to the terms of the certificate of authorization granted by the RBI under RBI notifications/directives etc. You specifically agree that in order to facilitate the provision of True Balance Wallet and related Services, True Balance may be required to disclose any information or particulars pertaining to you to any authority, statutory or otherwise.
2. INTELLECTUAL PROPERTY RIGHTS; Ownership; Proprietary Rights
The Services and the application are owned and operated by BHIPL and/or third-party licensors. The visual interfaces, graphics, design, compilation, information, computer code (including source code and object code), products, software, services, and all other elements of the Services and the application provided by BHIPL (the “materials”) are protected by Indian copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. As between you and BHIPL, all materials, trademarks, service marks, and trade names contained on the application are the property of BHIPL and/or third-party licensors or suppliers. You agree not to remove, obscure, or alter BHIPL or any third party’s copyright, patent, trademark, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Services. Except as expressly authorized by BHIPL, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of the materials. BHIPL reserves all rights not expressly granted in this agreement. If you have comments regarding the Services and the application or ideas on how to improve it, please contact merchant service. Please note that by doing so, you hereby irrevocably assign to BHIPL, and shall assign to BHIPL, all right, title and interest in and to all ideas and suggestions and all worldwide intellectual property rights associated therewith. You agree to perform such acts and execute such documents as may be reasonably necessary to perfect the foregoing rights.
We, or our licensors, own all right, title and interest, including, but not limited to all copyright, trademark, patent, trade secret or other proprietary rights (“IP Rights”), in and to the application, the platform, the Usage Data. You shall not reproduce, distribute, transmit, modify, create derivative works, display, perform or otherwise use the application, the platform or any of the IP Rights, or attempt to reverse engineer, decompile, disassemble, or derive the source code for the platform or use the platform or application to create a competing product. True Balance is owned by BHIPL and unauthorized use is strictly prohibited. All rights are expressly reserved to True Balance, in turn Balance Hero India Private Limited.
To the fullest extent permissible pursuant to applicable law, BHIPL and its third-party partners, licensors, and suppliers disclaim all warranties, statutory, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement of proprietary rights. No advice or information, whether oral or written, obtained by you from BHIPL or through the services or the application will create any warranty not expressly stated herein. You expressly acknowledge that as used in this section, the term “BHIPL” includes BHIPL’s officers, directors, employees, shareholders, agents, licensors, subcontractors and affiliated companies. You acknowledge that BHIPL is a reseller of Mobile recharges and is not liable for any 3rd party (Telco & suppliers) obligations due to rates, quality, and all other instances, whether to any such telco’s subscribers or otherwise. You expressly agree that use of the services and the application is at your sole risk. It is your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advice, services, merchandise and other information provided through the application or on the internet generally. We do not warrant that the service will be uninterrupted or error-free or that defects in the application will be corrected. The services and the application and any data, information, third party software, reference applications, services, or software made available in conjunction with or through the services and the application are provided on an “as is” and “as available,” “with all faults” basis and without warranties or representations of any kind either express or implied. BHIPL, and its third-party suppliers, licensors, and partners do not warrant that the data, BHIPL software, functions, or any other information offered on or through the services, the application or any reference applications will be uninterrupted, or free of errors, viruses or other harmful components and do not warrant that any of the foregoing will be corrected. BHIPL and its third-party suppliers, licensors, and partners do not warrant or make any representations regarding the use or the results of the use of the services, the application or any reference applications in terms of correctness, accuracy, reliability, or otherwise. You understand and agree that you use, access, download, or otherwise obtain information, materials, or data through the services, the application or any reference applications at your own discretion and risk and that you will be solely responsible for any damage to your property (including your computer system and device) or loss of data that results from the download or use of such material or data. We do not authorize anyone to make any warranty on our behalf and you should not rely on any such statement. This paragraph shall survive termination of this agreement. In no event, will BHIPL be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the application.
You agree to indemnify, save, and hold BHIPL, its affiliates, employees, officers, directors, agents and its third party suppliers, and partners harmless from any and all claims, losses, damages, and liabilities, costs and expenses, including without limitation legal fees and expenses, arising out of or related to your use or misuse of the Services or of the application, any violation by you of this agreement, or any breach of the representations, warranties, and covenants made by you herein. BHIPL reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify BHIPL, including rights to settle, and you agree to cooperate with BHIPL’s defense and settlement of these claims. BHIPL will use reasonable efforts to notify you of any claim, action, or proceeding brought by a third party that is subject to the foregoing indemnification upon becoming aware of it. This paragraph shall survive termination of this agreement.
You agree to indemnify, defend and hold True Balance and/or related parties harmless from all claims, losses, damages, and liabilities, costs and expenses, including and without limitation legal fees and expenses, arising out of or related to your use or misuse of the True Balance Wallet, any violation of these Terms and Conditions, or any breach of the representations, warranties, and covenants made by you.
5. TECHNICAL ISSUES
A.GOVERNING LAW AND DISPUTE RESOLUTION
Your authorization permits us to generate an electronic funds transfer between the payment system providers and our nodal account to process each payment transaction that you authorize. Thereafter, you authorize us to transfer the payments received from your buyers to the bank account designated by you for this purpose at the time of registration.
These Terms shall be governed by, and construed in accordance with, the laws of India, without reference to principles of conflicts of law. The parties agree that the courts of Gurgaon, Haryana shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, the platform/Network or the application. You expressly consent to the personal jurisdiction of said courts and waive any objection to such personal jurisdiction based on forums non-convenience or any other basis.

B. GENERAL CONDITIONS OF TRUE BALANCE WALLET
If you stop or seek a reversal of the Payment Instructions as you may have been submitted, BHIPL shall be entitled to charge and recover from you and you shall be liable to pay charges as may be decided by BHIPL. These charges shall be charged on to your designated Payment Account or in any other manner as may be decided by BHIPL.
Notwithstanding anything to the contrary, our maximum aggregate liability to you for any causes whatsoever, and regardless of the form of action (whether liability arises due to negligence or breach of contract, violation of statute, misrepresentation or for any other reason), will always be limited to the amount paid by you.

7. Termination For agreement Violations
You agree that BHIPL, in its sole discretion, for any or no reason, and without penalty, may suspend or terminate your account (or any part thereof) or your use of the services and remove and discard all or any part of your account, your user profile, or your recipient profile, at any time. BHIPL may also in its sole discretion and at any time discontinue providing access to the services, or any part thereof, with or without notice. You agree that any termination of your access to the services or any account you may have, or portion thereof may be affected without prior notice, and you agree that BHIPL will not be liable to you or any third party for any such termination. Any suspected fraudulent, abusive or illegal activity may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies BHIPL may have at law or in equity. Upon termination for any reason, you agree to immediately stop using the services.
8. Limitation of Liability and Damages
In no event will BHIPL or its contractors, agents, licensors, partners, suppliers be liable to you for any special, indirect, incidental, consequential, punitive, reliance, or exemplary damages (including without limitation lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage of any nature whatsoever) arising out of or relating to (i) this agreement, (ii) the services, the application or any reference application, or (iii) your use or inability to use the services, the application (including any and all materials) or any reference applications, even if BHIPL or a BHIPL authorized representative has been advised of the possibility of such damages.
You acknowledge and agree that BHIPL has offered its products and services, set its prices, and entered into this agreement in reliance upon the warranty disclaimers and the limitations of liability set forth herein, that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between you and BHIPL, and that the warranty disclaimers and the limitations of liability set forth herein form an essential basis of the bargain between you and BHIPL. BHIPL would not be able to provide the services to you on an economically reasonable basis without these limitations.
Notwithstanding anything to the contrary contained herein, neither BHIPL nor its’ subsidiaries, employees, Directors or any related party shall have any liability to users or to any Third-party for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or relating to these terms, the application or the offerings, even if any of said parties had been advised of, knew of, or should have known of the possibility of such damages.
9. Disclaimer; No Warranties
We make no warranty, express or implied, with respect to the application, the platform/network and services offered. We expressly disclaim the implied warranties of non-infringement, merchantability and fitness for any purpose.
We provide the application, the platform/network and any other technology and services on the application on an “as is”, “where is”, “with all faults” basis. We do not warrant that the application or the platform, any products and services shown or described on the application, or other technology and services will be uninterrupted, error-free, available or operational at any time, or that any known defects will be corrected.
10. Modification of this agreement
BHIPL reserves the right to change, modify, add, or remove portions of this agreement (each, a “change”) at any time by posting notification to the application or otherwise communicating the notification to you. The changes will become effective, and shall be deemed accepted by you, 24 hours after the initial posting and shall apply immediately on a going-forward basis with respect to payment transactions initiated after the posting date. If you do not agree with any such modification, you may choose to terminate your use of the Services. For certain changes, BHIPL may be required under applicable law to give you advance notice, and BHIPL will comply with such requirements.
11. Consent to Electronic Communications and Transactions
By registering to use the services, you consent to conduct transactions and receive communications, notices and information from us electronically, whether sent by e-mail or other electronic means. Electronic communications shall be deemed to have been received by you when we send the electronic communication to the email address/mobile number belonging to you as per our records, or when we post the electronic communication on the True Balance application. You can withdraw your consent at any time by contacting us, but we reserve the right to terminate your account upon such withdrawal. Withdrawal of your consent will not affect the legal validity and enforceability of any notice, statement or disclosure previously received electronically. You agree to notify us promptly if your email address or other contact information changes by updating your account information or contacting us.
BHIPL may provide you with notices and communications by email, regular mail or postings on the application or by any other reasonable means. Except as otherwise set forth herein, notice to BHIPL must be sent by courier or registered mail to True Balance, Floor-II, Plot-121, Sector-44, Gurgaon, Haryana 122001, India.
The failure of BHIPL to exercise or enforce any right or provision of this agreement will not constitute a waiver of such right or provision. Any waiver of any provision of this agreement will be effective only if in writing and signed by BHIPL.
To the maximum extent permitted by law, you waive, release, discharge and hold harmless BHIPL, its affiliated and subsidiary companies, and each of their directors, officers, employees, and agents, from all claims, losses, damages, liabilities, expenses and causes of action arising out of your use of the platform / True Balance Wallet.
14. Governing Law and Forum for Disputes
Any claim or dispute either party may have against other under these terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India. This agreement shall be governed by the laws of India, without giving effect to any principles of conflicts of law.
The True Balance Wallet is governed by per RBI direction on Issuance and Operation of Pre-Paid Payment Instruments in India (Reserve Bank) Directions, 2009 (as amended and supplemented from time to time) and is also subject to directions / instructions issued by the RBI from time to time in respect of redemption, repayment, usage etc. True Balance will not be responsible or liable for any violation by you of applicable law, regulation, or guideline. You hereby declare that your name does not, at any time, appear in the consolidated list of terrorist Individuals/ organizations as circulated by the RBI from time to time.
15. PROHIBITED SERVICES
You agree not to:
If any provision of this agreement is held to be unlawful, void, invalid or otherwise unenforceable, then that provision will be limited or eliminated from this agreement to the minimum extent required, and the remaining provisions will remain valid and enforceable.
This agreement, and any rights granted hereunder, may not be transferred or assigned by you without our prior written consent which may be withheld in our sole discretion, but may be assigned by us to our affiliates without restriction as a part of any business reorganization. Any assignment attempted to be made in violation of this provision shall be void and of no effect.
Upon termination of this agreement, any provision which, by its nature or express terms should survive, will survive such termination or expiration as applied to transfers and relationship prior to such termination or expiration.
19. Entire agreement
This is the entire agreement between you and BHIPL relating to the subject matter hereof and will not be modified except in writing, signed by both parties, or by a change to this agreement made by BHIPL in accordance with the terms of this agreement.
When internet fraudsters impersonate a business, e.g. Balance Hero/True Balance Wallet, to trick you into giving out your personal information, it’s called phishing. Don’t reply to email, text, or pop-up messages that ask for your personal or financial information. Don’t click on links within them either – even if the message seems to be from an organization you trust. Balance Hero/True Balance Wallet never asks you to send sensitive information through insecure channels.

You open an email or text, and see a message like this:
The senders are phishing for your information so they can use it to commit fraud.
How do Fraudsters Operate?
Fraudsters send fake emails to customers impersonating as Balance Hero/True Balance Wallet, asking them to urgently verify or update their account information by clicking on a link in the email.
Once the customer clicks on the link, it diverts him/her to a fake website with the same look & feel of Balance Hero/True Balance Wallet’s official website. And then the customer is presented with a web form to fill in his/her personal information.
It may also happen that the customer gets diverted to Balance Hero/True Balance Wallet’ official website after he/she had been skimmed of all the confidential information so as to subdue any doubt.
Once the fraudster had all these confidential details like wallet credentials, he can easily login to customer’s wallet and exhaust all the money either by way of recharge or through transfer.
How to Deal with Phishing Scams
Verify the URL of the webpage. The ‘s’ at the end of ‘https://’ stands for ‘secure’ – meaning the page is secured with an encryption. Most fake web addresses start with ‘http://’. Beware of such websites! While using True Balance Mobile App or website, always make sure that the domain name starts from: <website name>
Delete email and text messages that ask you to confirm or provide personal information (Debit/Credit/ATM/Wallet PIN, CVV, Expiry Dates for Debit/Credit card, Passwords etc.). Balance Hero/True Balance Wallet don’t ask for this information via email or text.
Check the Padlock symbol. This depicts the existence of a security certificate, also called the digital certificate for that website.
Establish the authenticity of the website by verifying its digital certificate. To do so, go to File > Properties > Certificates or double click on the Padlock symbol at the upper right or bottom corner of your browser window.
Don’t reply, and don’t click on links or call phone numbers provided in the message, either. These messages direct you to spoof sites – sites that look real but whose purpose is to steal your information.
Report Phishing Emails
If you receive an e-mail asserting to be from Balance Hero/True Balance Wallet regarding updating your sensitive account/wallet details like OTP, password, mobile number, let us know by forwarding the e-mail to email@example.com
Your report is most effective when you include the full email header, but most email programs hide this information. To find out how to include it, type the name of your email service with “full email header” into your favorite search engine.

Balance Hero/True Balance Wallet will never ask you to disclose your confidential information like Credit Card/Debit Card/ATM/Net-Banking details, PIN, OTP etc. via any source like – over phone/mobile, via email, on social media or in writing. We request all our customers to be-aware from any offer/schemes where you’re asked to reveal your confidential details.
